By accessing or using Subvyo's mobile application, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

Subvyo is a subscription management platform that helps users track, manage, and optimize their subscriptions. Our services include:

• Subscription tracking and management
• Bank account integration for automatic subscription detection
• AI-powered chat assistant and recommendations
• Negotiation tools and scripts
• Discovery feed for deals and alternatives
• Shared plans marketplace

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials

5. Bank Account Integration

If you choose to connect your bank account through Stripe Financial Connections:

• You authorize us to access your financial transaction data for the purpose of identifying and tracking subscriptions
• You understand that your bank credentials are handled by Stripe, not Subvyo
• You can disconnect your bank account at any time through the app settings
• We are not responsible for any actions taken by your bank or Stripe
• You are responsible for ensuring you have the right to connect any bank account you link

6. AI-Powered Features

Our Service includes AI-powered features such as chat assistance, recommendations, and negotiation scripts. You understand and agree that:

• AI-generated content is provided for informational purposes only
• We do not guarantee the accuracy, completeness, or effectiveness of AI-generated recommendations or scripts
• You are responsible for reviewing and verifying any AI-generated content before use
• We are not liable for any outcomes resulting from the use of AI-generated content

7. Shared Plans Marketplace

If you use the shared plans marketplace feature:

• You are solely responsible for any agreements or transactions with other users
• We are not a party to any agreements between users
• We do not guarantee the reliability, honesty, or performance of other users
• You use the marketplace at your own risk
• We are not responsible for any disputes between users

8. Payment Terms

Currently, Subvyo is available as a free service. If we introduce paid features or subscriptions in the future:

• We will provide clear notice of any fees before you are charged
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with advance notice
• You are responsible for any taxes applicable to your use of paid features

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Subvyo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Privacy

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBVYO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL SUBVYO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Subvyo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by deleting the app or contacting us to request account deletion.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
